1. Acceptance of Terms
By registering for an account or using any services provided by Ads Contacts (referred to as "the Platform," "we," "us," or "our"), you agree to these Terms and Conditions, our Privacy Policy, and all other operational rules, policies, and procedures that may be published on the Platform from time to time.
2. Services Overview
Ads Contacts is an online marketplace that connects advertisers/buyers ("Buyers") with social media content creators/influencers ("Sellers") for advertising and promotional services. We facilitate the posting of jobs, bidding/offering services, communication, payment processing, and dispute resolution between Buyers and Sellers.
3. User Accounts and Registration
3.1. Eligibility: To use the Platform, you must be at least 18 years old and capable of forming a binding contract.
3.2. Account Types: We offer two main account types: Buyer and Seller. You must register for the appropriate account type based on your primary use of the Platform.
3.3. Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.4. Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your password or account.
3.5. Verification: Ads Contacts reserves the right to verify user identities and information at any time.
3.2. Account Types: We offer two main account types: Buyer and Seller. You must register for the appropriate account type based on your primary use of the Platform.
3.3. Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.4. Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your password or account.
3.5. Verification: Ads Contacts reserves the right to verify user identities and information at any time.
4. Buyer Specific Terms
4.1. Hiring Sellers: Buyers are responsible for reviewing Seller profiles, portfolios, performance metrics, and proposals before hiring.
4.2. Payment: Buyers must deposit sufficient funds into their Ads Contacts wallet before hiring a Seller. All payments for services are held in an escrow system until the work is approved.
4.3. Work Order Approval: Buyers must approve the Work Order submitted by the Seller. This signifies agreement on the scope, deliverables, and payment for the service.
4.4. Review of Work: Upon completion and submission of work by the Seller, Buyers must review the work within 24 hours. If the Buyer fails to approve the work within this timeframe, the work will be automatically approved, and funds will be released to the Seller, minus our commission.
4.5. Communication: Buyers agree to communicate professionally and constructively with Sellers through the Platform's messaging system.
4.2. Payment: Buyers must deposit sufficient funds into their Ads Contacts wallet before hiring a Seller. All payments for services are held in an escrow system until the work is approved.
4.3. Work Order Approval: Buyers must approve the Work Order submitted by the Seller. This signifies agreement on the scope, deliverables, and payment for the service.
4.4. Review of Work: Upon completion and submission of work by the Seller, Buyers must review the work within 24 hours. If the Buyer fails to approve the work within this timeframe, the work will be automatically approved, and funds will be released to the Seller, minus our commission.
4.5. Communication: Buyers agree to communicate professionally and constructively with Sellers through the Platform's messaging system.
5. Seller Specific Terms
5.1. Job Posting: Sellers can post job requirements for social media advertising services, specifying platforms, budget, deadlines, and desired outcomes.
5.2. Service Offerings: Sellers can create profiles detailing their skills, experience, and the social media advertising services they offer (e.g., sponsored posts, video reviews, brand endorsements).
5.3. Performance Metrics: Sellers agree to provide accurate and verifiable performance metrics (e.g., follower count, engagement rates, audience demographics) for their social media accounts. Ads Contacts may verify these metrics.
5.4. Proposal Submission: Sellers can submit proposals or bids on Buyer job postings, outlining their approach, timeline, and pricing.
5.5. Work Order Creation: Once a Buyer agrees to a Seller's proposal, the Seller will issue a Work Order detailing the agreed-upon tasks, deliverables, and payment.
5.6. Work Delivery: Sellers must deliver the completed work within the agreed-upon timeframe as specified in the Work Order.
5.7. Withdrawal of Funds: Earnings from completed and approved jobs, minus Ads Contacts' commission, will be credited to the Seller's wallet. Sellers can withdraw funds to their linked bank accounts or mobile banking services.
5.2. Service Offerings: Sellers can create profiles detailing their skills, experience, and the social media advertising services they offer (e.g., sponsored posts, video reviews, brand endorsements).
5.3. Performance Metrics: Sellers agree to provide accurate and verifiable performance metrics (e.g., follower count, engagement rates, audience demographics) for their social media accounts. Ads Contacts may verify these metrics.
5.4. Proposal Submission: Sellers can submit proposals or bids on Buyer job postings, outlining their approach, timeline, and pricing.
5.5. Work Order Creation: Once a Buyer agrees to a Seller's proposal, the Seller will issue a Work Order detailing the agreed-upon tasks, deliverables, and payment.
5.6. Work Delivery: Sellers must deliver the completed work within the agreed-upon timeframe as specified in the Work Order.
5.7. Withdrawal of Funds: Earnings from completed and approved jobs, minus Ads Contacts' commission, will be credited to the Seller's wallet. Sellers can withdraw funds to their linked bank accounts or mobile banking services.
6. Financial Terms and Commission
6.1. Escrow System: All payments for services are held in an escrow account managed by Ads Contacts to ensure secure transactions.
6.2. Commission: Ads Contacts charges a predetermined commission fee on all successful transactions. This commission is deducted from the Seller's earnings upon the release of funds from escrow. The current commission rate is 10%.
6.3. Withdrawal Fees: Any fees associated with withdrawing funds (e.g., bank transfer fees, mobile banking charges) will be borne by the Seller.
6.4. Tax Responsibility: Users are solely responsible for all tax obligations related to their earnings or expenditures on the Platform as per their local laws.
6.2. Commission: Ads Contacts charges a predetermined commission fee on all successful transactions. This commission is deducted from the Seller's earnings upon the release of funds from escrow. The current commission rate is 10%.
6.3. Withdrawal Fees: Any fees associated with withdrawing funds (e.g., bank transfer fees, mobile banking charges) will be borne by the Seller.
6.4. Tax Responsibility: Users are solely responsible for all tax obligations related to their earnings or expenditures on the Platform as per their local laws.
7. Refund Policy and Dispute Resolution
7.1. Refund Eligibility: A Buyer may request a refund if they are dissatisfied with the Seller's work, provided they open a support ticket within 24 hours of work submission.
7.2. Dispute Process:
• The Buyer must open a support ticket with Ads Contacts, clearly stating the reason for dissatisfaction and providing relevant evidence.
• Ads Contacts' administration will review the case within 3-7 days of the ticket being opened.
• The administration will evaluate the submitted work, communications between Buyer and Seller, and all provided evidence.
• Based on the review, Ads Contacts will render a final decision, which may include:
- Instructing the Seller to revise or continue the work.
- Approving a full refund to the Buyer (excluding Ads Contacts' commission).
- Approving partial payment to the Seller based on work completed.
- Rejecting the refund request if the work meets the agreed-upon terms.
7.3. Final Decision: Both the Buyer and the Seller agree to accept and abide by the final decision made by Ads Contacts' administration regarding any dispute. The decision is binding and cannot be appealed within the Platform.
7.4. Commission Handling: In case of a full refund to the Buyer, Ads Contacts' commission (if already deducted) will not be refunded, as it covers the platform's service fees for facilitating the transaction and dispute resolution.
7.2. Dispute Process:
• The Buyer must open a support ticket with Ads Contacts, clearly stating the reason for dissatisfaction and providing relevant evidence.
• Ads Contacts' administration will review the case within 3-7 days of the ticket being opened.
• The administration will evaluate the submitted work, communications between Buyer and Seller, and all provided evidence.
• Based on the review, Ads Contacts will render a final decision, which may include:

- Approving a full refund to the Buyer (excluding Ads Contacts' commission).
- Approving partial payment to the Seller based on work completed.

7.3. Final Decision: Both the Buyer and the Seller agree to accept and abide by the final decision made by Ads Contacts' administration regarding any dispute. The decision is binding and cannot be appealed within the Platform.

8. User Conduct and Responsibilities
8.1. Professionalism: All users must maintain a professional and respectful demeanor in all communications and interactions on the Platform.
8.2. No Circumvention: Users must not attempt to circumvent the Platform's payment or communication systems by directly contacting each other outside Ads Contacts for services initiated on the Platform.
8.3. Prohibited Content/Activities: Users are prohibited from posting or engaging in any activity that is illegal, harmful, offensive, fraudulent, or violates intellectual property rights.
8.4. Content Ownership: Sellers retain ownership of the content they create, but grant the Buyer a license to use the content as per the Work Order, upon successful payment.
8.2. No Circumvention: Users must not attempt to circumvent the Platform's payment or communication systems by directly contacting each other outside Ads Contacts for services initiated on the Platform.
8.3. Prohibited Content/Activities: Users are prohibited from posting or engaging in any activity that is illegal, harmful, offensive, fraudulent, or violates intellectual property rights.
8.4. Content Ownership: Sellers retain ownership of the content they create, but grant the Buyer a license to use the content as per the Work Order, upon successful payment.
9. Disclaimer of Warranties
Ads Contacts provides the Platform on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, accuracy, completeness, or availability of the Platform or its services.
10. Limitation of Liability
Ads Contacts will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform or services. Our total liability will not exceed the amount paid by you for the specific service giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Ads Contacts, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of your use of the Platform or your breach of these Terms.
12. Modifications to Terms
Ads Contacts reserves the right to modify these Terms and Conditions at any time. We will notify users of any material changes by posting the updated terms on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
13. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Bangladesh.
